Terms & Conditions
1. Breadth of Agreement These terms and conditions (“Terms”), together with the registration form submitted by you (“Booking”), outline the “Agreement” between you, the Solution Partner, and us, Network Group Events Ltd (“Event Organiser”), pertaining to your attendance at the Event. 2. Attendance Solution Partner representatives may attend conference and focus group sessions arranged by Event Organiser. Solution Partner will complete and return to Event Organiser all necessary event-related documentation and forms as required for facilitation of the one-to-one meetings and effective running of the event. Solution Partner Representatives will attend the organised series of meetings pre-arranged by Event Organiser and communicated to Solution Partner. Solution Partners are responsible for the cost of gratuities. This may include use of leisure facilities at the Venue, parking, alcohol consumption (where applicable), travel, non-Event Organiser arranged dining, dry-cleaning, mini-bar, other refreshments and telephone calls. Event Organiser will not be liable to Solution Partner for any change in the number or identity of attendees. 3. Payment All payments shall be payable to Event Organiser in full prior to the event. If the date of the Agreement is more than 3 months from Event Start Date, Solution Partner will pay to Event Organiser a Deposit of 50% of Total Fee plus VAT, within 14 days of the date of the Agreement. The final 50% Balance of Total Fee plus VAT is due within 3 months of the Event start date. If the date of this Agreement is within 3 months from Event start date, Solution Partner will pay to Event Organiser the full amount of the Total Fee plus VAT within 14 days of date of invoice by way of cheque, credit card or Direct Bank Transfer to the Event Organiser's account: Account Name: Network Group Events Ltd. Bank: Lloyds Bank plc Account Number: 32196168 Sort Code: 30-65-41 BIC: LOYDGB21682 IBAN Number: GB91 LOYD 3065 4132 1961 68 Event Organiser reserves the right to withhold any information relating to the Event and/or refuse the Solution Partner and the Solution Partner Representatives entry to the event unless and until all fees due in respect of that Solution Partner‘s attendance at the Event have been paid in full. 4. Alterations, Postponement or Cancellations by Event Organiser Event Organiser will strive to adhere to the communicated event programme, but reserves the right to alter the event structure (ie: location, venue, date and features etc). If Event is cancelled or postponed by Event Organiser due to events or circumstances beyond its reasonable control (including without limitation Acts of God, flood, failure of any material supplier to the Event, unforeseen occurrence, cancellation by the Venue or other emergency), Event Organiser will reschedule Event and the Solution Partner will be transferred to the appropriate re-scheduled event (within 12 months). 5. Cancellation If Solution Partner wishes to cancel this Agreement or its attendance at the Event, Solution Partner shall notify Event Organiser in writing with as much due notice as is possible. Following such cancellation Solution Partner will be liable to Event Organiser as follows: Cancellation notice received by Event Organiser more than 2 months prior to Event start Date – 50% of Total Fee (plus VAT) retained by/owed to Event Organiser Cancellation within 2 months of Event start date - Total Fee plus VAT retained by/owed to Event Organiser. Event Organiser reserves the right to withhold any information relating to the event and/or to refuse the Solution Partner’s representatives entry to the event until all fees due in respect of that Solution Partner’s attendance have been paid in full. If any fees due to Event Organiser are not paid by the date of the Event, Event Organiser shall be entitled to retain any payment which it has received. For the avoidance of doubt, the cancellation fees discussed in this clause, do not apply to either party, if a party suffers a force majeure event i.e. an event or any cause, that is beyond the reasonable control of that party, insofar as the affected party notifies the other party immediately, or as reasonably expected in the circumstances, detailing such an event. 6. Miscellaneous This Agreement is binding upon confirmation by Event Organiser of acceptance of the Booking submitted by Solution Partner. These terms are governed by English Law and the parties agree to submit to the jurisdiction of the courts of England. The Network Group Events Ltd is a company registered in England and Wales (company number 08043329. VAT number 151506537) whose registered office is located at: Network Group Events Ltd. 24 Picton House, Hussar Court, Waterlooville, Hampshire, PO7 7SQ 7. Data Protection and Privacy We, the Event Organiser, are committed to protecting the Solution Provider’s privacy and keeping your personal data confidential. To this end, the Event Organiser hereby warrants and represents that (with respect to the collection, processing and transfer of personal data, whether before or after the date of signature of this Agreement) it has complied, and shall, at all times, comply with the relevant data protection legislation in force, from time to time, including the Data Protection Act 1998, as amended or repealed, and the General Data Protection Regulation (Regulation 2016/679) (“GDPR”). The information provided by Solution Partner will be held on our database and used for any permitted legal purpose. The Event Organiser and the Solution Partner both agree and accept that the Agreement and all information disclosed pursuant to the Agreement is confidential in nature. Neither party shall use information disclosed pursuant to the Agreement for any purpose other than a purpose envisaged by the Agreement or disclose such information to any third party without the prior written consent of the other party. Each party shall treat the other party’s information with the same degree of care that it uses for its own information of a similar nature, which in any event shall be no less than reasonable care. This Clause shall survive the expiry or termination of this Agreement for a period of five (5) years.
