Terms & Conditions
1. Scope of Agreement By submitting the Booking Form, you, the Solution Partner accept The Network Group Events Terms & Conditions as set out in this Agreement between you and us (the Event Organiser). 2. Attendance Solution Partner representatives may attend conference and focus group sessions arranged by the Event Organiser. The Solution Partner will complete and return to the Event Organiser all necessary event-related documentation and forms as required for facilitation of the one-to-one meetings and effective running of the event. Solution Partner Representatives will attend the organised series of meetings pre-arranged by the Event Organiser and communicated to the Solution Partner. The Solution Partner is responsible for the cost of accommodation and the cost of facilities and gratuities; including the use of leisure facilities at the Venue, parking, alcohol consumption (where applicable), travel, non-Event Organiser arranged dining, dry-cleaning, mini-bar, other refreshments and telephone calls. The Event Organiser will not be liable to the Solution Partner for any change in the number or identity of attendees. 3. Payment All payments shall be payable to the Event Organiser in full prior to the event. If the date of this Booking is more than 3 months from the Event Start Date, the Solution Partner will pay to the Event Organiser a Deposit of 50% of Total Fee plus VAT, within 14 days of the date of the Booking. The final 50% balance of Total Fee plus VAT is due by no later than three months prior to the event start date. If the date of this Booking is within 3 months from the Event start date, the Solution Partner will pay to the Event Organiser the full amount of the Total Fee plus VAT within 14 days of date of invoice by way of cheque, credit card or Direct Bank Transfer to the Event Organiser's account. In relation to settlement of fees, bank details will be as stated on invoice issued by Network Group Events finance department. The Event Organiser reserves the right to withhold any information relating to the Event and/or refuse the Solution Partner and the Solution Partner Representatives entry to the event unless and until all fees due in respect of that Solution Partner‘s attendance at the Event have been paid in full. 4. Alterations, Postponement or Cancellations by the Event Organiser The Event Organiser will strive to adhere to the communicated event programme, but reserves the right to alter the structure of the Event (i.e: location, venue, date and features etc). If the Event is cancelled or postponed by the Event Organiser due to events or circumstances or causes beyond its reasonable control including but not limited to Acts of God, flood, failure of any material supplier to the Event, pandemic, cancellation by the Venue or other emergency or unforeseen circumstance (Force Majeure), the Event Organiser will reschedule the Event and the Solution Partner will be transferred to the re-scheduled event (which shall take place within 12 months of the original event). On the happening of a Force Majeure event, the Event Organiser shall not be in breach of the Agreement or liable for delay in performance or failure to perform any of its obligations under the Agreement. In such circumstances the time for performance shall be extended by a period of up to 12 months and rescheduled by the Event Organiser. 5. Cancellation If the Solution Partner wishes to cancel this Agreement or its attendance at the Event, the Solution Partner shall notify the Event Organiser in writing with as much due notice as possible. Following such cancellation the Solution Provider will be liable to the Event Organiser as follows: Cancellation notice received by the Event Organiser more than 2 months prior to the Event start date- 50% of the total fee (plus VAT) retained by/owed to the Event Organiser. Cancellation within 2 months of the Event start date- Total Fee (plus VAT) retained by/owed to the Event Organiser. The Event Organiser reserves the right to withhold any information relating to the Event and/or refuse the Solution Partner’s representatives entry to the Event until all fees due in respect of that Solution Partner’s attendance have been paid in full. If any fees due to the Event Organiser are not paid by the date of the Event, the Event Organiser shall be entitled to retain any payment which it has received. 6. Privacy, Data Protection and Confidential Information We the Event Organiser, are committed to protecting the Solution Partner’s privacy and keeping your personal data confidential. If you would like to access a copy of the personal information collected about you by The Network Group Events, please contact: info@thenetwork-group.com Both parties to the Agreement agree to comply with all applicable requirements of Data Protection Legislation. The Event Organiser and the Solution Partner both agree and accept that the Agreement and all information disclosed pursuant to the Agreement is confidential in nature. Neither party shall use information disclosed pursuant to the Agreement for any purpose other than a purpose envisaged by the Agreement or disclose such information to any third party without the prior written consent of the other party. Each party shall treat the other party’s information with the same degree of care that it uses for its own information of a similar nature, which in any event shall be no less than reasonable care. This Clause shall survive the expiry or termination of this Agreement for a period of five (5) years. 7. Limitation of Liability The Event Organiser does not accept liability arising under, or in connection with this Agreement, including liability in contract, tort (including negligence), misrepresentation, restitution or otherwise. Nothing in the Agreement limits any liability which cannot be legally limited including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. The following types of loss are wholly excluded: loss of profits, loss of sales or business, loss of agreements or contracts and loss of anticipated savings, loss of use or corruption of software, data or information, loss or damage to goodwill and indirect and consequential loss. The following types of loss are not excluded: sums paid by the Solution Partner to the Event Organiser in respect of any services not provided in accordance with the Agreement, additional costs of procuring and implementing replacements for, or alternatives to Services not provided in accordance with the Agreement, losses incurred by the Solution Provider arising out of or in connection with any third party claim against the Solution Partner caused by the act or omission of the Event Organiser. 8. Miscellaneous The terms of this Agreement are binding upon the Solution Partner and Event Organiser; it constitutes the entire Agreement between the parties and supersedes all prior undertakings between them. Unless expressly stated otherwise, the Agreement does not give any rights under the Agreement (Rights of Third Parties Act 1999) to enforce any term of the Agreement. No variation of the Agreement is subject to the consent of any other person. These terms are governed by English Law and the parties agree to submit to the jurisdiction of the courts of England.
